Marvell is a leader in data infrastructure semiconductor solutions. The Commercial Transactions Group in Marvell's Legal Department drafts, reviews, negotiates, and manages the company's global commercial agreements. The team partners closely with every business unit and functional group across Marvell, and counsels and provides business and legal advice on best practices and risks for commercial engagements. This role will be part of the Commercial Transactions Group, focusing on complex technical collaboration and sales transactions with hyperscalers and key technology partners and suppliers. The Senior Counsel will serve as the primary legal advisor supporting strategic and high-value commercial engagements with Marvell's most significant technology counterparties. This role will report to the Senior Director and Associate General Counsel, Commercial.What You Can Expect
- Draft, negotiate, and review complex technology collaboration, joint development, licensing, supply, and other commercial agreements with hyperscalers and key technology partners and suppliers, including inbound and outbound licensing agreements, co-development agreements, strategic supply arrangements, and other commercial contracts relating to Marvell's hardware and software products.
- Represent Marvell in commercial interactions with key hyperscaler customers and strategic technology partners while balancing Marvell's business and legal interests.
- Assist other members of the team with other types of agreements as business needs change or contract volume shifts.
- Serve as a trusted legal advisor to senior management and cross-functional teams on complex technical collaborations and partnership transactions.
- Manage and structure complex legal issues, including those involving intellectual property, data rights, exclusivity, technology access, and risk allocation in multi-party technology arrangements.
- Provide strategic legal advice and develop and implement legal strategies to support business objectives related to Marvell's hyperscaler and technology partner programs.
- Interface with, and as necessary conduct training of, various business units domestically and internationally to ensure commercial contract terms comply with corporate directives, policies, and procedures.
- Advise less experienced counsel on their negotiations of technology agreements and build credibility as a trusted advisor to business partners.
- Drive continuous improvement to existing legal templates, legal and business processes, and legal support models, including contracts administration procedures and processes, in collaboration with functional groups and business units.
- Handle and complete special assignments or projects at the direction of the head of the Commercial Transactions Group or the Chief Legal Officer.
- Build and maintain business relationships and gain trust of internal clients while maintaining adherence to legal standards.
- Effectively leverage AI tools to enable efficiencies in contract review, research, and workflow.
What We're Looking For
- Juris Doctor and active member of the a State Bar.
- 7–10+ years' progressively responsible experience in a corporate legal department or law firm, including substantial experience drafting and negotiating complex technology transactions with hyperscale cloud providers, semiconductor ecosystem partners, or major technology suppliers, with a preference for experience in the semiconductor industry.
- At least a few years of the candidate's total years of experience should be from an in-house legal department drafting and negotiating technology transactions, advising on complex IP issues, and supporting legal aspects of product development in the high-tech space.
- Demonstrates depth and subject matter expertise in at least one complex domain (e.g., technology licensing, joint development, supply/procurement, or strategic partnerships) and solid cross-functional exposure.
- Advanced legal research and writing skills.
- Proficiency in analyzing complex legal issues and providing actionable advice.
- Ability to synthesize and clearly explain complex issues and solve problems creatively and pragmatically.
- Experience working with hyperscaler customers or major technology suppliers and partners on collaboration, co-development, or supply arrangements is strongly preferred.
- Familiarity with semiconductor industry commercial models, including custom silicon programs, IP licensing structures, and technology collaboration frameworks.
- Ability to handle complex and high-stakes situations with minimal supervision.
- Ability to manage multiple projects and priorities with a high degree of autonomy.
- Proven ability to work collaboratively in a cross-functional team environment with multiple functional groups and business units.
- Well-developed soft skills such as adaptability, responsiveness, curiosity, humility, and a good sense of humor are important qualities to integrate into the team and be successful at Marvell.
- High proficiency in use of AI tools to enable efficiencies.

Expected Base Pay Range (USD)
144,900 - 214,450, $ per annum
The successful candidate’s starting base pay will be determined based on job-related skills, experience, qualifications, work location and market conditions. The expected base pay range for this role may be modified based on market conditions.
