About the Role

The Paralegal provides legal and operational support to the General Counsel and the Company's businesses across a broad range of corporate, commercial and governance matters, with particular exposure to the semiconductor, technology and advanced manufacturing sectors.

Working closely with the General Counsel, business teams and external legal advisers, the role supports commercial contracting, corporate governance, legal and regulatory research, intellectual property and confidentiality matters, legal operations and corporate transactions. The Paralegal is expected to independently manage routine legal matters, identify issues requiring further legal review and ensure effective follow-through and completion.

Key Responsibilities

1. Commercial Contracts \& Business Support

  • Assist the General Counsel in reviewing, drafting and amending commercial agreements and other legal documentation.
  • Perform first-level review of routine agreements and identify key contractual terms, obligations, risks and deviations for further review by the General Counsel.
  • Support a broad range of commercial agreements, including non-disclosure agreements (NDAs), customer and supplier agreements, procurement and supply agreements, service agreements, consultancy agreements and other business-related contracts.
  • Support agreements relating to equipment procurement and supply, engineering and technical services, installation, maintenance and other technology-related activities.
  • Assist with contractual provisions relating to confidentiality,intellectual property, proprietary information and technology.
  • Coordinate internal contract review, approval and execution processes.
  • Maintain contract records and monitor key obligations, renewals, expiries and outstanding actions.

2. Corporate and Governance Support

  • Assist in preparing and maintaining corporate and governance documentation, including resolutions, approvals and supporting records.
  • Support documentation required for Board, shareholder and other corporate matters.
  • Liaise with Company Secretarial service providers on routine corporate filings, statutory records and documentation.
  • Maintain corporate records and support legal entity and subsidiary management activities.
  • Support corporate restructuring and other corporate administrative matters as required.

3. Legal Research, Regulatory \& Compliance Support

  • Conduct legal and regulatory research and prepare concise summaries for review by the General Counsel.
  • Monitor relevant legal and regulatory developments and assist in assessing their potential impact on the Company's businesses.
  • Support legal research relating to commercial transactions, technology, manufacturing and cross-border business activities.
  • Assist with the preparation and review of legal and compliance-related policies, procedures, guidelines and training materials.
  • Support ethics, compliance and other legal programmes where required.

4. Corporate Transactions \& Projects

  • Support the General Counsel on corporate transactions, investments, restructuring and other strategic projects.
  • Assist with legal due diligence, including the collation, organisation and preliminary review of corporate and contractual documentation.
  • Maintain transaction checklists, data-room documentation and supporting records.
  • Coordinate documentation and follow-up actions with internal stakeholders and external legal advisers.

5. Legal Operations \& Matter Management

  • Coordinate legal matters with internal stakeholders, regional businesses, external legal counsel and other professional advisers.
  • Maintain legal files, contract repositories, registers and matter-tracking records.
  • Track ongoing legal matters, contractual deadlines and outstanding actions and ensure timely follow-up.
  • Assist in gathering information and preparing documentation for disputes, claims or other legal matters where required
  • Support the development and maintenance of standard contracts, templates, legal guidelines and knowledge resources.
  • Support improvements to contract lifecycle management, document management, legal workflows and other legal processes.
  • Assist with the use and administration of legal technology and contract management tools where applicable.
  • Assist with external counsel engagement and legal fee administration.
  • Handle confidential, legally privileged and commercially sensitive information with appropriate care and discretion.
  • Undertake other legal and corporate support responsibilities as assigned by the General Counsel.

Qualifications \& Experience

  • Diploma or Degree in Law, Legal Studies or a related discipline, or an equivalent recognised paralegal qualification.
  • 3–5 years of relevant paralegal experience , preferably within an in-house legal function or corporate/commercial legal practice.
  • Good working knowledge of commercial contracts and corporate documentation, with experience in first-level contract review.
  • Experience with customer and supplier agreements, NDAs, technology-related agreements, intellectual property and cross-border commercial matters would be advantageous.
  • Exposure to corporate governance, subsidiary management, legal operations or compliance activities would be an advantage.
  • Experience supporting a regional or multi-entity organisation would be advantageous.
  • Practical, resourceful and comfortable working in a fast-paced corporate and technology environment.
  • Proficient in Microsoft Office applications and comfortable working with electronic document, contract management and legal technology systems.

Preferred Industry Experience

Prior in-house legal or paralegal experience in the semiconductor or semiconductor equipment industry would be highly regarded. Relevant experience in electronics, high-technology manufacturing, precision engineering, industrial automation, advanced manufacturing or engineering and technology services would also be considered.

Experience in a B2B technology or manufacturing environment involving complex customer and supplier relationships, technical products or services, intellectual property, confidentiality requirements and cross-border business activities would be particularly relevant.

Candidates from other industries may also be considered where they demonstrate strong transferable corporate and commercial paralegal experience.

Candidate Profile

The ideal candidate is an experienced, commercially minded and detail-oriented Paralegal who is comfortable working in a technical, fast-paced and international business environment. The individual should be able to manage routine legal and contractual matters with a good degree of independence while exercising sound judgement on matters requiring escalation to the General Counsel.

The successful candidate should demonstrate:

  • Commercial awareness – Understands the business context behind contracts and takes apractical approach to legal support.
  • Contract capability – Comfortable conducting first-level reviews of commercial agreementsand identifying key terms, inconsistencies and deviations.
  • Sound judgement – Able to determine what can be handled independently and when legal advice or escalation is required.
  • Business and technology curiosity – Interested in understanding the Company's technologies, products, customers, suppliers and business model.
  • Strong organisation and attention to detail – Able to manage multiple contracts, matters and deadlines accurately and follow actions through to completion.
  • Stakeholder confidence – Comfortableworking with business functions including Sales, Procurement, Supply Chain,Finance, HR, Operations and Engineering, as well as regional businesses andexternal advisers.
  • Adaptability and resourcefulness – Able to work across differentlegal and commercial matters and respond effectively to changing businesspriorities.
  • Digital mindset – Comfortable adopting contract management, legal technology and other digital tools to improve legal processes and efficiency.
  • Integrity and discretion – Handle confidential, legally privileged and commercially sensitive information with a high level of professionalism.

Career Development

This role offers opportunities to broaden legal and commercial experience through direct exposure to the General Counsel and the Company's regional businesses, particularly within the semiconductor and technology sectors. With demonstrated performance and capability, the incumbent may take on greater responsibilities in commercial contracts, corporate governance, legal operations, cross-border matters and strategic projects, with potential progression to Senior Paralegal or Lead Paralegal roles.
